Welcome to Sportro, operated by Sky Ventura LLC ("Company," "we," "us," or "our"). By downloading, accessing, or using the Sportro mobile application (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Sky Ventura LLC.

1. Eligibility

You must be at least 16 years old to create an account and use Sportro. Users under the age of 18 may use the Platform only with verified parental or legal guardian consent. By using Sportro, you represent and warrant that you meet these age requirements and have the legal capacity to enter into this agreement.

We reserve the right to request proof of age or parental consent at any time and to suspend or terminate accounts that do not meet these eligibility requirements. Sky Ventura LLC may refuse service and change eligibility criteria at any time without prior notice.

2. Description of Service

Sportro is a social platform that connects users for recreational sports, communities, events, meetups, and related activities. Sportro operates solely as a technology facilitator and does not own, operate, or control any physical locations, teams, leagues, or events.

All activities, meetups, and facility use are organized independently by users, community administrators, or event hosts. Sportro provides no supervision, certification, background checks, or verification for participants, organizers, or facilities.

Sportro does not guarantee the quality, safety, legality, or occurrence of any event or activity organized through the Platform.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account. Sharing accounts between multiple individuals is prohibited, and any such account may be removed without notice.

We may reclaim, reassign, or remove usernames at our discretion, including for extended inactivity or violation of these Terms.

4. User Conduct

You agree not to:

• Engage in harassment, violence, discrimination, hate speech, or illegal activity
• Post false, harmful, defamatory, obscene, or infringing content
• Misrepresent your identity or impersonate any person or entity
• Collect or distribute others' personal data without their consent
• Upload viruses, malware, or any other harmful code
• Use the Platform to spam, solicit, or send unsolicited messages
• Scrape, harvest, or collect information using automated tools without written permission
• Circumvent or interfere with the security features of the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform for any commercial purpose not expressly permitted by us
• Violate any applicable law, regulation, or third-party rights

Violation of these terms may result in content removal, account suspension, or permanent ban at Sportro's sole discretion.

5. User-Generated Content

Users may post or share content, including photos, videos, text, or other materials ("Content").

You retain ownership of your Content. By uploading Content, you grant Sky Ventura LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your Content solely to operate, promote, and improve the Platform. This license continues for a commercially reasonable period after you remove or delete Content, except where we have separately obtained your permission to use it.

You represent and warrant that your Content:

• Does not infringe on third-party rights (copyright, trademark, privacy, or publicity)
• Does not contain hate speech, explicit material, or unlawful content
• Complies with all applicable laws

Sportro reserves the right to remove or restrict any Content that violates these Terms or applicable law, at our sole discretion and without prior notice.

6. Facilities and Venues

Users and event hosts are legally responsible for any and all arrangements involving facility rentals, access permissions, insurance, and compliance with local laws, permits, or venue rules.

• Sky Ventura LLC does not own or manage the facilities where activities take place
• Users are required to obtain all necessary permissions from facility owners or operators and to comply with all posted regulations, safety standards, and rental agreements
• Sportro is not a party to any agreements between users, hosts, or venues

Any disputes, damages, or losses arising from facility use, rentals, or rule violations are the sole responsibility of the involved users and/or facility operators.

You acknowledge and agree that Sky Ventura LLC bears no liability for property damage, injury, or loss related to any facility used through the Platform.

7. Assumption of Risk & Waiver of Liability

BY USING SPORTRO OR PARTICIPATING IN ANY ACTIVITY COORDINATED THROUGH THE PLATFORM, YOU UNDERSTAND AND VOLUNTARILY ASSUME ALL ASSOCIATED RISKS, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE.

You agree that:

• Sky Ventura LLC and its affiliates cannot be held responsible for accidents, unsafe conditions, negligence by other users, or any physical, emotional, or material harm
• Users are solely responsible for evaluating their own physical condition, skill level, and ability to participate safely
• Sportro does not provide insurance or verify users' health or background information
• All interactions, meetups, and activities occur at your own discretion and risk

BY PARTICIPATING, YOU WAIVE, RELEASE, AND DISCHARGE SKY VENTURA LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS FROM ANY AND ALL CLAIMS, LOSSES, OR CAUSES OF ACTION RELATED TO YOUR PARTICIPATION IN ANY SPORTRO-CONNECTED ACTIVITY, INCLUDING CLAIMS ARISING FROM NEGLIGENCE.

8. Payments

Some communities or events may require payment. Payment processing is handled by Stripe, and by making a payment you agree to Stripe's terms of service. A processing fee may be applied to each transaction.

Sky Ventura LLC does not currently collect any platform fees on transactions. All payments go directly to community administrators or event organizers via Stripe Connect.

Refund policies are determined by event organizers and community administrators. Sky Ventura LLC does not guarantee refunds for paid events or memberships. If you have a payment dispute, please contact the event organizer directly or reach out to us at [email protected].

Sky Ventura LLC is not responsible for any financial disputes between users, organizers, or payment processors.

9. Intellectual Property

All rights, title, and interest in and to the Platform and its content, including software, logos, trademarks, and UI elements, are owned by Sky Ventura LLC or its licensors. You may not copy, modify, distribute, frame, mirror, or reverse engineer any part of the Platform without written permission.

You are granted a personal, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose, subject to these Terms. All goodwill arising from the use of Sportro's trademarks benefits Sky Ventura LLC exclusively.

10. Blocking and Reporting

You may block other users to prevent them from viewing your profile or contacting you. You may report users or content that violates these Terms. We will review reports and take appropriate action, which may include removing content, issuing warnings, or suspending or terminating accounts.

11. Suspension and Termination

You may delete your account at any time through the App settings. We reserve the right to suspend, restrict, or terminate your account at any time without notice if we believe you have violated these Terms or engaged in behavior harmful to others or the integrity of the Platform.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to content licensing, liability limitations, assumption of risk, indemnification, and dispute resolution.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Sportro is a technology platform for connecting sports enthusiasts. We are not responsible for:

• Any injuries, damages, or losses that occur during events or activities
• User content or conduct on or off the Platform
• Third-party services, venues, or facilities
• The accuracy of information posted by users
• Unauthorized access to your account or data

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SKY VENTURA LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO INJURIES, LOST PROFITS, DATA LOSS, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, IN-PERSON ACTIVITIES, OR THIRD-PARTY FACILITIES.

YOUR ONLY REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO CEASE USING IT.

IN NO EVENT SHALL SKY VENTURA LLC'S TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE TOTAL AMOUNT YOU HAVE PAID TO SKY VENTURA LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sky Ventura LLC, its officers, employees, partners, agents, and affiliates from all claims, damages, or expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Your participation in any activity or event
• Your rental or use of any facility
• Your Content or behavior on or off the Platform
• Your breach of these Terms or violation of any applicable law
• Any dispute between you and another user

This indemnification obligation survives termination of your account and these Terms.

15. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Before initiating any legal action, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. If the dispute is not resolved within sixty (60) days, either party may proceed with legal action.

Any disputes shall be resolved exclusively in the state or federal courts located in the State of California. You consent to the personal jurisdiction of these courts.

You waive any right to a jury trial or class action and agree to binding arbitration where required by law. Any claim must be brought within one (1) year of the event giving rise to the dispute, or the claim is permanently barred.

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Modifications to Terms

Sky Ventura LLC may revise these Terms periodically. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. Changes related to urgent legal, safety, or security matters may take effect immediately.

Your continued use of the Platform after modifications are posted constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.

17. General Provisions

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Sky Ventura LLC regarding the Platform.

• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

• Assignment: Sky Ventura LLC may assign or transfer these Terms, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights under these Terms without our prior written consent.

• Force Majeure: Sky Ventura LLC shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet disruptions.
